OVERVIEW

Welcome to ADRN.

The terms “we”, “us”, “our” and “ADRN” refer to the party operating the ADRN store, whose identification and contact details are available in the Contact Information published on the website.

ADRN operates this online store, including the related information, content, features, tools, products and services, in order to provide customers with its online retail services (the “Services”).

The store is hosted by Shopify, which provides the technological platform necessary for us to offer the Services.

These Terms of Service (“Terms”), together with the notices and policies referenced on the website, govern access to and use of the Services and purchases made through ADRN.

By using the website or placing an order, you agree to these Terms to the extent applicable. The processing of personal data is governed by our Privacy Policy.

These Terms do not limit any mandatory rights granted to consumers under applicable Italian and European Union law.

SECTION 1 — ACCESS AND ACCOUNTS

To make purchases through ADRN, you must have the legal capacity required to enter into the contract under applicable law.

When using the Services, we may ask you for information necessary to manage your order, such as your email address, billing, payment and shipping information.

You are responsible for the accuracy and currency of the information you provide.

If you use a customer account, you are responsible for keeping its credentials confidential and for activity carried out through your account, except for unauthorized use not attributable to you.

You may not sell, assign or transfer your account to third parties in violation of these Terms.

SECTION 2 — PRODUCTS

ADRN aims to represent its products as accurately as possible through photographs, descriptions and other information available on product pages.

However, the display of colours, finishes and details may vary slightly depending on the device, screen and related settings.

Such display differences do not affect ADRN's obligation to provide products that conform to their description and to the contract concluded with the customer.

The physical characteristics of each product are those stated on the relevant product page.

Campaign imagery created or edited using artificial intelligence tools is intended for illustrative and creative purposes. The actual physical characteristics of the product are defined by the product page.

We may update product descriptions, photographs and information for future orders.

We may also discontinue a product or limit its availability, without affecting orders that have already been validly concluded.

SECTION 3 — ORDERS

Submitting an order constitutes an offer to purchase the selected products under the conditions shown at checkout.

Before completing your order, you will have the opportunity to review the products, quantities, prices, any shipping charges and the total amount.

The sales contract is concluded when ADRN confirms the order to the customer through the systems made available by Shopify, subject to any payment issues, subsequent unavailability or other circumstances that lawfully prevent fulfilment of the order.

If payment has already been authorized or charged for an order that cannot be accepted or fulfilled, the amount due will be refunded in accordance with the applicable procedures.

For requests to modify or cancel an order, please contact us as soon as possible at adrn.jewel@gmail.com. We cannot guarantee that an order can be changed once processing has begun.

Returns, withdrawal and refunds are governed by our Refund Policy.

Purchases made through the standard ADRN checkout are intended for the customer's personal use unless otherwise agreed in writing.

SECTION 4 — PRICES AND PAYMENTS

Prices are stated in euros.

The applicable price is the price shown when the order is submitted, except in the case of obvious material errors.

Before completing a purchase, the price of the products, applicable shipping charges and the total amount payable will be displayed.

Any applicable taxes are handled in accordance with current law and the store's tax configuration.

ADRN may change prices at any time for future purchases.

Promotions, discount codes or offers may be subject to specific conditions. Where particular terms are stated for a promotion, those terms apply to that initiative.

You must provide accurate payment information and use only payment methods that you are authorized to use.

Payments are processed through Shopify and/or the payment providers available at checkout.

ADRN does not directly receive or store complete payment card details when these are handled by the payment provider.

SECTION 5 — PRE-ORDERS, SHIPPING AND DELIVERY

Some ADRN products may be offered on a pre-order basis.

When a product is available for pre-order, this is communicated before purchase.

Pre-orders may require longer preparation times than products that are immediately available, particularly during periods of high demand or high order volume.

ADRN currently ships to supported destinations in Italy and the European Union.

Any stated delivery times are estimates and may vary for logistical reasons or circumstances outside ADRN's direct control.

In the event of a significant delay or inability to fulfil an order, the customer will be informed and will retain the rights granted by applicable law.

For consumer sales, where ADRN arranges shipping through one of the carriers offered by the store, the risk of loss of or damage to the product passes to the consumer when the consumer, or a third party designated by the consumer other than the carrier, physically takes possession of the goods, except where otherwise provided by law.

SECTION 6 — INTELLECTUAL PROPERTY

The ADRN name, logo, website design, texts, graphic elements, photographs, videos and other original content made available through the Services are protected by applicable intellectual property laws and belong to ADRN or their respective owners/licensors.

Use of the Services does not transfer any intellectual property rights to the user.

Except where permitted by law or previously authorized in writing, ADRN content may not be reproduced, distributed, modified, resold or commercially exploited.

Trademarks and content belonging to Shopify or other third parties remain the property of their respective owners.

SECTION 7 — THIRD-PARTY TOOLS AND SERVICES

The Services may use tools provided by third parties, including payment, shipping, analytics or other technological services.

Use of such services may also be subject to the relevant providers' terms and policies.

ADRN is not responsible for activities or services of third parties that are outside its control, without prejudice to any mandatory obligations ADRN may have towards the customer under applicable law.

SECTION 8 — THIRD-PARTY LINKS

The website may contain links to websites or services operated by third parties.

The presence of a link does not automatically imply ADRN's endorsement or control of the relevant content.

Before using third-party services or entering into transactions with third parties, we recommend reviewing their terms and policies.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

ADRN uses Shopify to provide its e-commerce infrastructure.

However, sales made through the ADRN store take place between the customer and ADRN.

Shopify is not the seller of ADRN products.

The direct sales relationship, order fulfilment, the product and assistance relating to the purchase remain ADRN's responsibility in accordance with applicable law.

SECTION 10 — PRIVACY

The processing of personal data collected through the Services is governed by the ADRN Privacy Policy, available on the website.

Because the store uses Shopify, certain data is also processed by Shopify and other technology providers necessary to provide the Services, according to their respective roles and policies.

Please refer to the ADRN Privacy Policy for further information on purposes, legal bases, recipients, transfers and your rights regarding personal data.

SECTION 11 — FEEDBACK AND REVIEWS

If you voluntarily submit reviews, suggestions, photographs or other content relating to ADRN, you represent that you have the rights necessary to do so.

Unless otherwise stated, you authorize us to use such content to operate, improve and promote ADRN to the extent permitted by law.

You must not submit content that is unlawful, defamatory, offensive, fraudulent or infringes third-party rights.

Sponsored or incentivized reviews must be disclosed as such where required by applicable law.

SECTION 12 — ERRORS AND INACCURACIES

Despite our checks, the website may occasionally contain typographical, technical or material errors concerning descriptions, availability, prices, promotions or shipping.

We reserve the right to correct such errors.

If an obvious material error affects an order that has already been submitted, we will contact the customer to explain the issue and, depending on the circumstances, offer to continue the order under the corrected conditions or cancel it and refund any sums already paid.

This provision does not limit the consumer's rights under applicable law.

SECTION 13 — PROHIBITED USES

You may use the Services only for lawful purposes.

You may not use the website to:

violate laws or third-party rights;
infringe intellectual property rights;
introduce viruses, malware or harmful code;
commit fraud or intentionally provide false information;
access systems or data without authorization;
collect third-party personal data unlawfully;
interfere with the security or normal operation of the website;
engage in spam, phishing or similar abusive activities;
circumvent security or protective measures adopted by the website.

We may restrict or suspend access to the Services in the event of unlawful or abusive use.

SECTION 14 — AUTOMATED SYSTEMS AND AGENTS

Automated access to the Services using bots, software agents, scrapers or similar technologies must not interfere with the operation of the website, circumvent security measures or violate these Terms or applicable law.

We may adopt reasonable technical measures to restrict abusive or unauthorized automated activity.

SECTION 15 — SUSPENSION AND TERMINATION

We may suspend or restrict access to the Services where necessary for security, maintenance, fraud prevention, violation of these Terms or legal obligations.

Ending use of the Services does not affect rights and obligations already accrued in relation to concluded orders.

Provisions which by their nature are intended to survive will remain effective after use of the Services ends.

SECTION 16 — WARRANTIES AND PRODUCT CONFORMITY

ADRN supplies products in accordance with the mandatory warranties required by applicable law.

Where applicable, purchases made by consumers are covered by the statutory legal guarantee of conformity.

Nothing in these Terms limits or excludes those rights.

General information published on the website is provided with reasonable care. However, we cannot guarantee that the website will always be available without interruption or technical errors.

Any exclusions or limitations set out in these Terms apply only to the extent permitted by law.

SECTION 17 — LIMITATION OF LIABILITY

To the extent permitted by law, ADRN is not responsible for damage arising from improper or unlawful use of the Services, circumstances not reasonably within its control, or third-party services not attributable to ADRN.

No provision of these Terms excludes or limits liability that cannot legally be excluded or limited.

In particular, these Terms do not affect:

mandatory consumer rights;
liability for intentional misconduct or gross negligence where it cannot be limited;
liability for personal injury where provided by law;
obligations arising from the statutory legal guarantee of conformity.

SECTION 18 — LIABILITY FOR UNLAWFUL USE

The user is responsible for the consequences of using the Services in violation of the law, third-party rights or these Terms.

Any obligation of the user to compensate or indemnify applies only to the extent permitted by applicable law and does not affect mandatory consumer rights.

SECTION 19 — SEVERABILITY

If any provision of these Terms is held to be void, unlawful or unenforceable, it will be ineffective only to the extent necessary.

The remaining provisions will continue in effect.

SECTION 20 — ENTIRE AGREEMENT AND NO WAIVER

ADRN's failure to exercise a right under these Terms does not constitute a permanent waiver of that right.

These Terms, together with the referenced policies and the information provided during the purchase process, govern the relationship concerning use of the Services and purchases made through the store.

Where there is a conflict with mandatory rights granted to consumers by law, those mandatory rights prevail.

SECTION 21 — ASSIGNMENT

You may not transfer obligations arising from an order or these Terms to third parties where such transfer is incompatible with the nature of the relationship or applicable law.

ADRN may transfer its rights or obligations as part of corporate or organizational transactions, provided that the transfer does not reduce the consumer's mandatory rights and complies with any information obligations required by law.

SECTION 22 — GOVERNING LAW AND JURISDICTION

These Terms are governed by Italian law, without prejudice to mandatory rights granted to consumers by applicable law.

If the customer is a consumer residing in another European Union Member State, the application of Italian law does not deprive that consumer of any mandatory protections granted by the law of the country in which they habitually reside.

Any disputes involving consumers are subject to the rules on jurisdiction laid down by applicable Italian and European legislation.

For relationships that do not fall within consumer law, the jurisdiction rules provided by law apply.

Section headings are provided for organizational purposes only and do not affect the interpretation of the relevant provisions.

SECTION 24 — CHANGES TO THE TERMS

The current version of these Terms is available on the website.

We may amend these Terms for regulatory, technical, operational or commercial reasons.

Changes normally apply to uses and purchases made after they take effect.

The terms applicable to an order already concluded remain those in effect when the order was concluded, unless changes are required by law or agreed with the customer.

Where required by applicable law, material changes will be communicated by appropriate means.
